Terms of Use

Preamble

By signing up for an account with ShopBack, you agree to be bound by these Terms of Use. ShopBack maintains the right to amend its terms and conditions, in whole or in part, at any time, with or without notice.

ShopBack general terms of use

Ecommerce Enablers Pte. Ltd. ("ShopBack") offers Cashback to account holders for purchases at merchant partners through various platforms including website, browser extension, and mobile application (the "ShopBack Platforms"). Use of services and accounts is subject to these terms and conditions (the "Agreement"). By using the Services or maintaining an account with ShopBack, you acknowledge reading and understanding this Agreement and agree to be bound by all its terms. ShopBack operates globally across multiple countries in the Asia-Pacific region.

1. Service licence

ShopBack grants you a revocable, non-exclusive, non-transferable licence to access and use the ShopBack Platforms and Services solely for personal use. You obtain no rights beyond those expressly granted. ShopBack reserves the right to change, upgrade, or discontinue any Services or features at any time, with or without notice. All rights not expressly granted are reserved by ShopBack and its licensors.

2. ShopBack account

Some Services require maintaining a ShopBack account, created free by providing requested details. Account use and earning Cashback opportunities are offered at ShopBack's sole discretion, subject to compliance with this Agreement. An individual cannot create or control multiple ShopBack accounts. Specifically:

  1. Each mobile number may only link to one ShopBack account
  2. Each payment account may only link to one ShopBack account

Failure to comply with terms, fraud, abuse relating to Cashback accrual or receipt, or misrepresentation of information may result in account suspension or termination; forfeiture of accumulated Cashback; and/or cancellation of store credit or vouchers.

Users must regularly check accounts to ensure proper Cashback crediting and updated balances. Any omissions, incorrect entries, or discrepancies must be reported within 30 days of the transaction. ShopBack reserves the right not to correct issues reported after the 30-day period.

3. Earning Cashback

ShopBack offers opportunities to earn Cashback on purchases at merchant partners through various ShopBack Platforms. Account creation and maintenance are required before earning Cashback. Cashback crediting is subject to various terms, conditions, and requirements, including:

  1. Having cookies enabled throughout ShopBack Platform access and merchant partner website access
  2. Not opening separate tabs or browsers while accessing ShopBack Platforms and merchant partner websites
  3. Completing transactions on merchant websites before proceeding elsewhere
  4. Completing purchases within specified timeframes
  5. Not engaging in fraudulent or dishonest conduct and complying with this Agreement and applicable merchant terms

Certain purchases are excluded from Cashback. Generally, Cashback is earned on net purchase amounts excluding shipping and handling, though amounts and exclusions vary by merchant and promotion. Review terms carefully. Exclusions may change without notice, and ShopBack disclaims liability for incorrect or missing exclusion information. Typical exclusions include:

  1. Cashback ineligibility when purchasing promotional items or using discount codes, coupons, or other promotions
  2. Cashback eligibility only with specified payment methods
  3. Different Cashback tiers for different users (e.g., new versus existing users)

4. Merchant partner policies

Products or services purchased from merchant partners are governed by applicable merchant policies and terms, including return, cancellation, exchange, and shipping policies. ShopBack is not an agent of any merchant partner, which operates independently. Participation in merchant offers or promotions is solely between you and that merchant. ShopBack assumes no liability, obligation, or responsibility for correspondence, offers, or promotions. ShopBack is not responsible for merchant or third-party products, services, or their advertisements.

5. Top-ups and deductions

ShopBack reserves the right to make account balance top-ups and deductions when necessary, reasonable, or expedient. This includes situations where Cashback was incorrectly credited or where users acted fraudulently, dishonestly, or violated Agreement terms.

6. Redeeming Cashback

You may redeem Cashback anytime, subject to Agreement terms or specific conditions relating to individual account entries. You must accumulate Cashback reaching or exceeding the minimum redemption amount indicated and communicated periodically. To redeem Cashback, you must maintain an active account and provide minimum information required to process redemption (e.g., valid bank account number or PayPal account). For security purposes, Cashback redemption is limited to S$300 per day.

7. Nature of Cashback

For clarity, earning Cashback grants no proprietary rights over monies or assets held by ShopBack. Accrued Cashback does not constitute monies held in trust by ShopBack for your benefit. Your rights and entitlements are solely limited to personal or contractual repayment rights arising from this Agreement.

8. Termination of account

Cashback accumulated in your ShopBack account expires if your account remains inactive (no successful transactions through ShopBack) for more than one year. ShopBack reserves the right to suspend or terminate your account per Clause 13 or where necessary or reasonable to comply with law, regulation, or court order.

9. Personal data protection

Personal Data collected is subject to ShopBack's Privacy Policy, which is hereby incorporated by reference and located on ShopBack's website.

10. Bonuses and rewards

ShopBack periodically offers bonuses or rewards for performing certain actions (such as referring new users). Accompanying terms and conditions govern earning and payment. You are prohibited from bidding on keywords containing "ShopBack" or similar words or marks to drive traffic to your page. You shall not send paid traffic directly to your referral link. You may not include or distribute your referral link on websites or platforms not belonging to you, such as merchant social media pages or coupon websites.

11. Taxes

You are responsible for any taxes applicable to amounts earned from redeemed Cashback. ShopBack makes no representation regarding tax treatment of such amounts.

12. Fraud

ShopBack may suspend or terminate your account if it believes you are involved in fraudulent or dishonest activities. Failure to comply with this Agreement, fraud, dishonesty, abuse relating to service use or account use, or misrepresentation of information provided by you or anyone acting on your behalf may result in account termination; cancellation of purchases (store credit, vouchers, or otherwise); and/or forfeiture of accrued Cashback rewards.

13. Third party rights

A person not party to this Agreement has no rights to enforce any Agreement terms.

14. Communications

By becoming a ShopBack user, you agree to receive account and user-related communications (e.g., Cashback additions, payment payouts) and periodic shopping-related emails highlighting coupons or special deals for ShopBack users. ShopBack may communicate regarding your account by electronic communications or direct mail using registration information. Your electronic communications consent includes any legally-required written notices or information. You agree to keep ShopBack informed of any changes to your contact information.

15. Ownership

All rights, title, and interest in Services, ShopBack Platforms, and associated Content belong to ShopBack or its licensors. ShopBack maintains all rights, title, and interest in "SHOPBACK," the Happy Bag logo, and other marks, service marks, trademarks, or logos (the "ShopBack Marks") registered in Australia and other markets. ShopBack Marks may not be used in connection with non-ShopBack products or services in ways likely to cause customer confusion or in ways that disparage or discredit ShopBack.

16. Community standards

By creating a ShopBack account, you become a community member depending on user goodwill and responsible behaviour. Users must refrain from transmitting or communicating images or text constituting ethnic slurs, obscenities, sexually explicit material, inflammatory or derogatory comments, or harassing or offensive content targeting Services, ShopBack Platforms, employees, contractors, agents, merchant partners, or other users. This includes social media or internet posts violating community standards.

17. Indemnification

You agree to indemnify ShopBack, merchant partners, and their respective officers, directors, employees, successors, agents, and affiliates for any claims, damages, losses, and causes of action (including attorneys' fees and court costs) arising from your Agreement breach or materials in any form provided by you (or through your username and/or password). You agree to cooperate as fully as reasonably required in our defense and/or settlement of any claim. ShopBack reserves the right to assume exclusive defense and control of any matter subject to indemnification by you.

18. Warranty disclaimer

Services, content, and ShopBack Platforms are provided "as is" and without warranty of any kind, express or implied, including warranties of title, merchantability, fitness for a particular purpose, or non-infringement. ShopBack makes no warranty regarding Services, content, or ShopBack Platforms quality, accuracy, currentness, completeness, reliability, or validity, including product search results, descriptions, availability, pricing information, advice, opinions, statements, or other information displayed or distributed through ShopBack Platforms.

19. Use of biometric, phone or third-party logins

You may allow ShopBack account access via third-party logins (e.g., Facebook or Google) or through your phone (using device passcode or biometric data). You understand the need to protect your mobile device, passcode, biometric login functions, and passwords at third-party sites (such as Facebook accounts).

The biometrics recognition feature is designed and owned by the respective mobile device. You acknowledge that if you allow third parties' biometrics registration as part of your mobile device's biometrics, they will access your account. You acknowledge that if registered mobile device possession changes and device login service is not disabled, others will access your account. You acknowledge that if your Facebook or Google account passwords are compromised or provided to others, those others will access your account. In unauthorised access events, ShopBack shall not be held responsible for any loss.

ShopBack does not collect or store your biometric ID or Facebook or Google passwords, relying on third-party or mobile device services to verify identity. ShopBack does not guarantee error-free, uninterrupted service. If transmission interruptions or service malfunctions (through no ShopBack fault) cause inconvenience, service inability, data loss, errors, tampering, or economic loss, ShopBack shall not be held liable.

20. Limitation of liability

To the maximum extent permitted by applicable law, ShopBack shall not be liable for special, incidental, consequential, exemplary, punitive, or indirect damages or profit loss, data loss, or use damages, even if advised of such damages possibility. To the maximum extent permitted by applicable law, ShopBack's maximum aggregate liability arising from this agreement shall not exceed S$100.

21. Governing law and arbitration

This Agreement, including amendments ShopBack may make at its discretion, is governed by and construed according to Republic of Singapore laws. Any dispute arising from or connected with this contract, including existence, validity, or termination questions, shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with SIAC Arbitration Rules for the time being in force, which rules are deemed incorporated by reference in this clause. The arbitration seat shall be Singapore. The Tribunal shall consist of one arbitrator. The arbitration language shall be English. You agree all issues are for the arbitrator to decide. This includes all scope, application, interpretation, and enforceability issues regarding this Agreement and the arbitration provision. The arbitrator shall also decide whether any claim is subject to arbitration.

22. Assignment

You may not assign your rights and obligations under this Agreement, in whole or in part, without prior written consent, and any assignment without such consent will be null and void.

23. Headings

Headings under this Agreement are intended only for convenience and shall not affect the Agreement interpretation.

24. Waivers/severability

ShopBack's failure to enforce any Agreement provision will not be deemed a waiver of that provision. Any ShopBack waiver of any Agreement provision on one occasion will not be deemed a waiver of any other provision or of such provision on any other occasion. If any Agreement provision is held invalid, such invalidity shall not affect remaining provisions.

25. Entire agreement

This Agreement (together with additional terms and conditions referred to or generally) represents the entire parties' agreement regarding the subject matter and supersedes all prior or contemporaneous agreements and representations, written or oral (including earlier Agreement versions you may have accepted). ShopBack reserves the right to modify this Agreement anytime. Your continued Services use or continued account maintenance shall constitute and be deemed acceptance of such modification and consent to abide by any resulting terms.
